Terms and Conditions
Welcome to Scan Scope CO ("Company", "we", "our", or "us"). These Terms and Conditions ("Agreement") apply to the services provided by Scan Scope CO, as outlined in the accompanying Proposal.
The entity signing the Proposal is the "Client."
By accessing or using our website and services or contracting our services, you agree to be bound by the terms below.
1. Agreement Formation
The Proposal and these Terms together form the full agreement ("Agreement").
Any additional services outside the original scope must be requested in writing and may incur additional charges.
2. Scope of Services
Scan Scope CO provides 3D scanning, Matterport virtual tours, CAD and BIM modeling, and deliverables such as HDR photography, point clouds, and PDFs.
We do not offer licensed architectural, construction, land surveying, or engineering services.
Clients are responsible for obtaining such services independently.
3. Client Responsibilities
Clients must:
Provide accurate project details and any prior studies, drawings, or access information before service.
Ensure safe and timely access to the site.
Inform us of any hazardous conditions.
Review and approve deliverables in a timely fashion.
Secure permits or approvals when necessary.
4. Standard of Care
Scan Scope CO will perform services consistent with industry standards at the time and location of the project. No guarantees or warranties are implied beyond our professional obligation.
5. Invoicing and Payments
Invoices are issued upon service completion or according to the Proposal.
Payment is due upon receipt unless otherwise stated. Late payments may incur a 12% annual interest fee.
Large projects may require deposits. Cancellations within 48 hours of the scheduled service result in a 50% or $450 fee, whichever is greater.
If access is denied at the site or the job is canceled on arrival, a $250 fee applies.
6. Right of Entry and Site Access
Clients must ensure Scan Scope CO has access to the property. While we take care during work, minor incidental damage may occur. Unless due to our negligence, we are not liable for such damage.
7. Site Safety and Control
Scan Scope CO is not responsible for overall site safety, only for the safety of our own employees and subcontractors. Our presence does not confer control or responsibility over third-party personnel.
8. Subsurface and Existing Conditions
Clients acknowledge that not all conditions may be detectable, and inaccuracies in client-supplied data may impact results. We take precautions, but are not liable for damage to unknown or inaccurately represented utilities or structures.
9. Intellectual Property and Usage Rights
Deliverables remain the property of Scan Scope CO until full payment is received. Clients are granted rights to use deliverables for project-related purposes. Deliverables may not be resold, altered, or reused without permission.
10. Indemnification
Scan Scope CO agrees to indemnify the client for claims arising solely from our negligence. The client also agrees to indemnify Scan Scope CO for claims due to inaccurate data, unauthorized use of deliverables, or unforeseen site conditions.
11. Limitation of Liability
Our liability is limited to the total compensation received or $10,000—whichever is greater—after applying available insurance. Consequential damages, such as lost revenue or business opportunities, are waived by both parties.
12. Insurance
We maintain general and professional liability coverage with limits of at least $1,000,000. Proof of insurance is available upon request.
13. Force Majeure
Neither party is liable for delays or failure to perform caused by circumstances beyond their control, including weather, pandemics, or labor issues.
14. Project Deliverables and Certification
Clients may not modify or distribute our deliverables without prior approval. We do not certify conditions we cannot observe. Certifications are professional judgments, not guarantees.
15. Confidentiality and Conflict of Interest
We will not disclose confidential information unless legally required. We reserve the right to work with other clients unless there is a direct conflict of interest.
16. Termination and Suspension
Either party may terminate the agreement with 7 days' written notice due to breach or non-performance. Non-payment is grounds for immediate suspension of services.
17. Successors and Assigns
This Agreement binds both parties and their successors. Assignments must be mutually approved in writing.
18. Dispute Resolution
Disputes must first be addressed through mediation. Any legal action must be initiated within one year of service completion. If the client’s claim is unsuccessful, they are responsible for reimbursing legal costs.
19. Governing Law
This Agreement is governed by the laws of the State of New Jersey.
20. Entire Agreement
This document, along with the signed proposal, represents the full agreement. Any amendments must be in writing and signed by both parties.
21. Notes and Exclusions
Outdoor scans may be delayed due to weather. Additional visits may incur charges.
Laser scans are non-destructive and limited to visible elements.
Clients must remove obstructions to ensure complete scans. This includes vegetation, stored items, and insulation.
We are not responsible for site cleaning or preparation unless specified in the agreement.
